Terms and Conditions
Effective Date: June 1, 2024

Welcome to Proximity Outsourcing. By accessing or using our services, you agree to be bound by the following terms and conditions (the “Agreement”). If you do not agree to these terms, please do not use our services.

  1. Service Engagement. The service provider’s representative, referred to as the “Remote Pro” or “Remote Professional,” will operate under the general supervision of the Client and perform duties as directed by the Client.
  2. Duration of Service. Services commence upon the execution and signing of this Agreement by both parties.
  3. Onboarding. The Client will initiate the onboarding process within five (5) business days from the date of the last interview. This means the Client will decide which Remote Pro they are hiring, so communication can be initiated with the candidates who did not pass this round. Payment for the monthly subscription is due no later than two (2) days before the onboarding process begins.
  4. Holidays and Paid Time Off. Both parties will observe U.S. holidays (New Year’s Day, MLK Day, Memorial Day, Juneteenth, July 4th, Labor Day, Columbus Day, Veterans Day, Thanksgiving, and Christmas Day) and Philippine holidays (Maundy Thursday and Good Friday). The Remote Pro is entitled to ten (10) days of paid time off annually. Time off requested outside of this allowance is considered unpaid and is subject to the approval and discretion of the Client.
  5. Additional Benefits. The service provider will provide basic private insurance coverage, telemedicine services, monthly upskilling seminars, and other merit-based bonuses to the Remote Pro.
  6. Direct Hiring. If the Client directly hires the service professional or proceeds to engage with them independently, a penalty/release fee of $10,000 is payable to the service provider.
  7. Termination. Either party may terminate this Agreement with a thirty (30)-day written or electronic notice. Prorated service fees will be calculated and paid accordingly if termination occurs before the end of any billing period.
  8. Confidentiality and Non-Compete. The service provider and Remote Pro agree not to disclose any confidential information related to the Client’s business during the engagement and for two (2) years after the termination of this Agreement.
  9. Refunds. All services are paid upfront and considered earned upon receipt of payment. Refunds will only be provided for the initial hiring and recruitment fee, and only if the interviewed candidates are deemed unfit for the role based on the Action Plan and résumés presented.
  10. Conduct. Both the Client and the service provider are expected to exercise professionalism and good conduct throughout the engagement. Cussing, misogynistic, racist, or offensive remarks will not be tolerated. Any violation of this clause will result in immediate cancellation of services with no refund.
  11. Service Plans and Billing Cycles. Clients may select from various service plans tailored to their needs. For example, the “Marketing Manager” plan is priced at $1,495 and provides 20 hours of service per week. This plan is billed every 28 days.
  12. Service Integrity and Accountability. The Client acknowledges and understands that any unauthorized activity conducted by a Remote Pro — including but not limited to work outsourcing, data sharing, or any engagement outside the agreed-upon scope of work — is not the responsibility of Proximity Outsourcing.

    If any unauthorized activity is discovered, the Client must promptly coordinate with Proximity Outsourcing to assess the matter. While we are not liable for such actions, we will take necessary steps to hold the Remote Pro accountable. The Client agrees to provide relevant proof to assist in resolving the issue.

    All payments made to Proximity Outsourcing are considered earned and non-refundable. However, to ensure uninterrupted service, we can facilitate termination and rehiring if necessary and merited on a case-by-case basis, which we reserve the right to determine. In cases where a Client chooses to cancel, we will prorate any unused service dates starting from the day immediate cancellation is expressed.

    We are implementing stricter monitoring protocols to mitigate unauthorized activities and ensure adherence to contract terms. These measures include periodic performance appraisals, reinforced confidentiality agreements, and other oversight mechanisms.

The foregoing terms and conditions shall form part of the pre-existing contract signed with you and shall modify, revise, or supersede any portions of such contract that are inconsistent with the terms stated herein.

These provisions reinforce our commitment to protecting your business while ensuring fairness and accountability.
